Terms of Service

These Terms of Service ("Terms") govern your use of Intellity (intellity.ai) and the related competitive intelligence service (the "Service") operated by AppFocus GmbH, a company registered in Baden, Switzerland ("we", "us", "our"). By creating an account or using the Service, you accept these Terms.

1. The Service

Intellity is a competitive intelligence service that delivers a weekly briefing tracking the public moves of competitors you select. Briefings are produced through a combination of automated source aggregation and editorial synthesis; while we ship the full automation, early briefings may be hand-crafted by the founder. Briefings are informational only and do not constitute business, legal, financial, or strategic advice.

2. Accounts

You must be at least 18 years old and have legal capacity to enter into contracts to use the Service. You are responsible for the confidentiality of your account credentials and for all activity occurring under your account. Notify us immediately of any unauthorized use.

3. Subscriptions and Pricing

Founding member rate: €49 per month for the first 25 customers. This rate remains in effect for the duration of any continuous, unbroken subscription. Cancellation and re-subscription resets pricing to the then-current standard tier.

Standard rate: €99 per month, applicable to new customers after the founding tier fills.

All prices are in Euros and are inclusive of any applicable Swiss value-added tax (MWST). AppFocus GmbH is registered for Swiss MWST under VAT identification CHE-139.464.954 MWST. For Swiss customers, the VAT portion of the price is itemised on your invoice. For cross-border B2B sales within the EU, the reverse-charge mechanism applies and the same price is invoiced net of VAT.

Payments are processed by Stripe Payments Europe Ltd. By subscribing, you authorise Stripe to charge the applicable amount monthly until cancellation.

4. Cancellation and Refunds

You may cancel your subscription at any time via the Stripe customer portal or by emailing nikola@appfocus.ch. Cancellation takes effect at the end of the then-current billing period; no further charges will be applied.

14-day money-back guarantee: If your first weekly brief does not deliver value, email us within 14 days of the brief and we will refund the first month in full. After that, fees paid for the current period are not refundable except where mandatory consumer protection law requires otherwise.

Intellity is sold to businesses and professional users. If you are an EU consumer purchasing in a non-business capacity and a statutory right of withdrawal applies, the rules of your jurisdiction govern in addition to (and where mandatory, in place of) the above.

5. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to violate any applicable law or third-party rights.
  • Resell, sublicense, or redistribute briefs in any commercial form, in whole or in part, without prior written consent.
  • Share account credentials or allow more than one individual to use a single subscription, except as part of a multi-seat plan where applicable.
  • Use the Service to harass, defame, or unlawfully target any individual or entity.
  • Interfere with or disrupt the Service through automated means, denial-of-service attempts, or any other malicious activity.

We reserve the right to suspend or terminate accounts that materially violate these provisions.

6. Intellectual Property

The Service, the brief format, the source pipeline, the synthesis methodology, the website, the brand, and all related intellectual property remain the exclusive property of AppFocus GmbH. You receive a non-exclusive, non-transferable licence to access and use the briefs you receive for your own internal business purposes. You may share individual briefs internally within your company; you may not publish, redistribute, or commercialise them without our written consent.

The factual information contained in briefs is sourced from publicly available materials. We do not claim ownership of such facts but do claim copyright in our selection, arrangement, synthesis, and commentary.

7. Service Availability

We aim to deliver weekly briefs reliably but do not guarantee uninterrupted availability. The Service is provided on a best-effort basis. We may temporarily suspend the Service for maintenance, updates, or in response to security incidents, with reasonable notice where practicable.

8. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. Briefs are informational and are produced through a combination of automated aggregation and editorial synthesis of publicly available sources. We do not guarantee the accuracy, completeness, or currency of any specific information in any brief, and you should independently verify any information before acting on it.

9. Limitation of Liability

To the fullest extent permitted by Swiss law, our total aggregate liability arising out of or in connection with the Service shall not exceed the total amount you have paid to us during the twelve months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business opportunities, or data, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for gross negligence, intentional misconduct, or any other liability that cannot be excluded under mandatory Swiss law.

10. Indemnification

You agree to indemnify and hold harmless AppFocus GmbH, its officers, employees, and contractors from any claims, damages, or expenses arising out of your breach of these Terms, your violation of applicable law, or your misuse of the Service.

11. Modifications to the Service and Terms

We may modify the Service and these Terms from time to time. Material changes to the Terms will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.

12. Governing Law and Jurisdiction

These Terms are governed by Swiss law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for any dispute arising from or in connection with these Terms is Baden, Aargau, Switzerland, subject to any mandatory consumer-protection jurisdiction in your country of residence.

13. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and AppFocus GmbH regarding the Service and supersede all prior agreements.
